I am a business owner of an engineering company who is in talks with another company owner who may acquire my company in exchange for a stake in the merged company.
I need someone to carry out the due diligence report on both the companies so there is full transparency to both the owners, based on which we will negotiate valuation, shareholding, etc. So, just to clarify - your role is to prepare the report which must include the following:
Ratios, work on hand, liabilities, major assets, written off assets, certifications, blacklisted with any client, any risks, etc. Your scope does not include valuation - it only includes the due diligence report based on last 5 years audited balance sheet and phone/email interview with both owners. Please let me know if you have any questions - I'd be glad to share the 5 years financials with shortlisted freelancers.
