The nature of the agreement is to protect the business owner from any risk due to I am a Dormant Owner and only get 5% profit shares. The bank and the atm card own by me only but the online banking and phone for TAC is owns by Naseer. Partnership Agreement : Date: This Agreement is created and signed here and describes the partnership rules between Mr Shazwan Bin Zakaria with Malaysian IC Number of 00000000000 and Mr Nasser Parooei with the passport Number of H000000000 Agreement : -Company name Golbibitex Sdn Bhd -Product is Mobile application = LessisMore -Shares 100% owned by me. -Revenue shares are 5% of the profit monthly -Any type of due diligence that was not done by Mohamad Syazwan due to he is a Dormant owner and 100% operational cost is bared by Naseer paroi. -Application lessismore is fully owned by Naseer and Syazwan will not interfere with the operation and has no legal rights or any sort on the application. -Any tax charge to the company considers the operational cost and bared by Naseer. -All type of costing is charged to Naseer , if failed to do so and caused the company running on losses, and if there any penalize of not paying the business registration fee and tax occurred to the company is fully bared by Naseer. -Any legislative action that incurred to the company, syazwan will not be responsible due to he is the only a dormant owner. -Syazwan cannot do any merging, expand or interfere with the business operation not limited to closing the business if was found there's fraud or laundry money transferred to the company clause 1- the account is only for online payment gateway if found got unrecognize transfer fund was made, Syazwan has the authority to return the money back to the transferor As below is term that Naseer gave to me. Please also add in .Than This Agreement created based on the needs of Mr Nasser Parooei to have a Local Partner in Malaysia to Register A company . Mr Shazwan Bin Zakaria Use his powers as a Malaysian citizen to Register a company in Malaysia and also apply for payment gateway(s) and bank accounts that Mr Nasser Parooei requests. Mr Nasser Parooei Agrees to give Mr Shazwan Bin Zakaria 5 percent of the total net revenue of the application on all platforms (Website ,Android and iOS) Mr Nasser Parooei should Pay Mr Shazwan the amount that described above at the end of every month. Mr Shazwan Bin Zakaria can not withdraw money from any of Companies bank account with out written permission of Mr Nasser Parooei The Nature of the agreement enforce that Mr Nasser Parooei Can Only use this company and its bank accounts in the applications he develop . and he should not be involve in any other activity that this company empowers him to do it , fail to do so ,Mr Shazwan bin Zakaria can take legal action against him . If Mr Shazwan bin zakria wanted to use the company or any of its assets in any way he should have written permission from Mr Nasser Parooei. Mr Shazwan Bin Zakaria Will hold the credit /debit cards accociated with all the bank accounts of the company .
